APPLICATION PROGRAM INTERFACE TERMS (“API TERMS”)

The capitalized terms used in these API Terms shall have the meaning given to them in Terms of Service, if not defined differently herein. Provisions of the Terms apply also to API Terms, where applicable.
These API Terms apply for any natural or legal person accessing SciNote application program interface(s) (“API”) (even if no other SciNote Service is used by such person) and therefore includes individuals, companies and/or other legal entities that such individual(s) represent (“API user”).
API Terms do not grant API users any rights in connection with SciNote ELN or any of our non-public APIs and only grant them the license as defined with API Terms (“API license”).
We grant API users a non-exclusive, worldwide, non-transferable limited license to access Our APIs and documentation only as necessary to develop, test and support an integration of API users’ application (“Application”) with SciNote ELN. API users may choose to charge for Application; however, they may not sell, rent, lease, sublicense, redistribute, or syndicate access to Our APIs.
We may choose to limit which Applications can be integrated with SciNote ELN at Our sole discretion and however We see fit. SciNote reserves the right to take any measures to prevent unwanted API access.
Conditions
API users’ license to access Our APIs and documentation is limited as described with these API Terms. Further on, API users shall not: (a) access Our APIs or documentation in violation of any law or regulation; (b) access Our APIs in any manner that (i) compromises, breaks or circumvents any of Our technical processes or security measures associated with SciNote ELN, (ii) poses a security, safety or privacy vulnerability to Customers or Users of SciNote ELN in any way, or (iii) tests the vulnerability of Our systems or networks; (c) access Our APIs to get access to proprietary and/or confidential information of Customers or Users of SciNote ELN without their explicit permission (d) access Our APIs or documentation in order to replicate or compete with SciNote ELN; (e) attempt to reverse engineer or otherwise derive proprietary source code, trade secrets, or know-how of Our APIs or SciNote ELN; or (e) attempt to use Our APIs in a manner that exceeds rate limits, or constitutes excessive or abusive usage. Such limits and usage shall be defined by Us on a case by case basis and shall take into account industry standards, as well as potential threats for Us, SciNote ELN, our Customers and Users.
Data Processing & Breach notifications
If API users offer the Application for use to others outside their organization, API users must maintain a user agreement and privacy policy for API user Application, which is prominently identified or located where users download or access the Application. API user’s privacy policy must meet GDPR standards where applicable. API user must promptly notify Us in writing by sending Us an e-mail to privacy@scinote.com of any data breaches or breaches of API user agreement or privacy policy that impact or may impact US, Our Customers and/or Users.
Audit and Suspension
If We believe that there is a violation of the API Terms and such violation can simply be remedied by API users’ modification or update of the Application, We will, in most cases, ask API users to take direct action rather than intervene. In such instance, We may, if available to Us, use API users’ User account details, like username, e-mail address and other personal information to contact them or provide such contact information to any third party that reasonably, in SciNote’s sole determination, claims that API user does not possess all of the necessary intellectual property rights. In some instances, We may directly step in and take what We determine to be appropriate action if API user is not responsive, or if We believe there is a credible risk of harm to Us, SciNote ELN, our Customers, Users or any third parties. We also reserve the right to audit API user Applications to ensure it does not violate Our terms and policies. API user agrees that they will cooperate with inquiries related to such an audit and provide Us with proof that their Application complies with Our terms and policies.
Reservation of Rights
All of Our rights not expressly granted by API Terms are hereby retained. API users retain ownership rights in the Application and We own and will continue to own Our APIs, documentation and SciNote ELN, including all related intellectual property rights therein.
Termination
API users may terminate API Terms by discontinuing use and/or access of Our APIs. We may terminate API Terms with or without cause, and without notice to API users. Upon termination all rights and licenses granted to API user under these API Terms shall terminate immediately. API user understand that any APIs or documentation that is not generally available but that are otherwise made available to API users, is confidential information of SciNote and API users must not share it with any third parties. Upon termination, API users will promptly destroy copies of any documentation and any other SciNote information in their possession or control that was received under these API Terms.
Modifications to our APIs and Documentation
As SciNote ELN shall be continuously changing and evolving, we might occasionally make changes to our APIs, including backwards incompatible changes. We will make reasonable effort to try and give API user notices of these changes by using API users’ contact information (shall we have them), but it is API users’ responsibility to keep track of the API documentation and the changes described there. Also, parts of our APIs are undocumented, including but not limited to certain methods, events, and properties. Given that these undocumented aspects of our APIs may change at any time, API users should not rely on their behaviors.
